Microart inc.
Software License Agreement for all Microart Distributed software.
For use wherever applicable.
This is a legal agreement between you, the end-user, and Microart Inc. By installing, copying, or otherwise using the software you agree to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, you are not permitted to use the software.
Ownership. Microart Inc. retains all rights, titles, and interests in and to the software, including all intellectual property rights embodied therein and thereto. For Microart Open Source projects, all code contributions belong to Microart Inc. unless otherwise specified. By contributing via a "Pull Request" or any other form of contribution, you are legally binding yourself with this agreement and handing rights to the contributed code to Microart Inc. At any point in time, Microart Inc. may sell, edit, delete, modify the contributed code.
License Grant. Subject to the terms and conditions of this agreement, Microart Inc. grants you a limited, personal, nonexclusive license to install, copy, and use the software for your personal use only. This applies to both proprietary and open-source software. You may not distribute, rent, lease, loan, sublicense or otherwise transfer the software to any other party.
Restrictions. You may not decompile, reverse engineer, disassemble, or otherwise reduce the software to a human-readable form. You may not modify, or create derivative works based upon, the software in whole or in part. You may not remove any proprietary notices or labels on the software.
Termination. This agreement is effective until terminated. Microart Inc. may terminate this agreement at any time, for any reason, without notice. If you violate any of the terms of this agreement, your license terminates automatically and you must destroy all copies of the software in your possession.
Disclaimer of Warranties. MICROART INC. DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE SOFTWARE.
Limitation of Liability. IN NO EVENT WILL MICROART INC. BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
Export Control. The software is subject to United States export laws and regulations. You must comply with all applicable export laws and regulations when using the software.
Governing Law. This agreement is governed by the laws of the State of California, United States of America.
ENTIRE AGREEMENT. This agreement constitutes the entire agreement between you and Microart Inc. with respect to the software and supersedes all prior or contemporaneous understandings, agreements, or representations, written or oral, regarding such subject matter.
Future Changes To This Agreement: By agreeing to this agreement, you legally bind yourself to this copy and any future copies of this agreement. Microart Inc. reserves the right to change any of the terms of this agreement at any time and without notice. It is your responsibility to periodically re-read this agreement to stay informed of any changes. If you do not agree to the revised terms, you are not allowed to continue using the software or any Microart software product.
Responsibility: Any code or software you may download or use from any Microart website is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. In no event shall Microart be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this software, even if advised of the possibility of such damage.
End-User agrees to these terms, takes all responsibility for use, and indemnifies and holds harmless Microart from any and all claims, damages, or losses arising from any use of this software.
